TICKITBOOKIT provides users and suppliers of bookable tourism services with this booking platform, where the contracts are concluded directly between the users and the suppliers of tourism services.
TICKITBOOKIT is not a contracting party for booked tours and other touristic services.
TICKITBOOKIT is an online service that enables users to find, and book travel experiences worldwide. TICKITBOOKIT offers a variety of tickets to attractions, activities, events, tours and tourism affiliated services (“products”) made available by TICKITBOOKIT's third party suppliers through TICKITBOOKIT's and its affiliates' and distribution partners Platforms and mobile properties and related applications (collectively referred to in this Agreement as this “Platform”).
These Terms of Service shall apply to the use of TICKITBOOKIT, for instance via the internet or mobile applications. The contractual relationship between the user and TICKITBOOKIT encompasses only the referral of the consumer to the supplier.
TICKITBOOKIT does not act as an organizer, lessor, seller, or other contracting partner in relation to the service contract with the user.
TICKITBOOKIT itself does not offer any tours and is not a contractual party to the contracts that are concluded exclusively between users and suppliers. These TICKITBOOKIT Terms of Service, therefore, shall apply only for the referral of users to suppliers. The Terms of Service of the respective suppliers shall apply for each service contract between user and supplier.
This Platform is provided to assist customers in discovering tourism information, posting reviews and opinions of tourism experiences, engaging in user generated reviews, and searching for and booking reservations for bookable products, and for no other purposes.
This Platform and the products and services made available on this Platform are offered to you and are conditioned upon your acceptance without modification of any and/or all of the terms, conditions, and notices set forth below (collectively, within the “Agreement”).
By accessing or using this Platform in any way, means or methods, you agree to be bound by the Agreement and acknowledge that you have read and understood its terms. Please read the Agreement carefully, as it contains information regarding your legal rights and limitations on these rights, as well as a section concerning applicable law and jurisdiction of disputes (Gujarat, India). If you do not accept all of these terms and conditions, do not use this Platform or book any products or services.
In all booking arrangements, the customer making the booking shall be believed to have accepted this Agreement on behalf of the persons named within the booking.
Prohibited Activities
The content and information on this Platform (including, but not limited to, communications, data, collective content, information, soundbites, text, music, sound, photos, graphics, video, maps, icons, software, code, etc.), as well as the infrastructure used to providecontent and information, is proprietary to us, TICKITBOOKIT.
Through this agreement, you agree not to otherwise display, perform, reproduce, publish, license, modify, copy, translate, distribute, transmit, create, superimpose, derivative works from, transfer, or sell or re-sell any information, content, software, products or services obtained from or through this Platform.
All or any other use of the Platform content requires the prior written permission of TICKITBOOKIT (if you are interested in becoming a TICKITBOOKIT affiliate or distribution partner, please click here for more information).
Furthermore, you agree that you,unilaterally, will not and will not assist or enable others to:use this Platform or its individual or collective contents for any commercial or unlawful purpose;make any actions that will or may impose an unreasonable or disproportionately large load on our infrastructure, or create excessive traffic demands on the Platform through those same actions; copy, deep-link, frame, scrape, paste or otherwise incorporate any part of this Platform into any other Platform without our prior authorization in writing;try to gain unauthorized access to the Platform and to user accounts, systems, codes, servers or networks connected to the Platformby any means, or otherwise interfere with any security-related features of the Platform.
I. Terms of Service of TICKITBOOKIT
TICKITBOOKIT operates a brokerage-platform providing offers in the tourism sector as bookable offers via the internet and mobile applications ("TICKITBOOKIT").
On the platform, users have the opportunity to find and book tourism related activities including, but not limited to, attractions, events, tourist excursions, activities, and experiences all over the world.
Offers included on the Platform, for example, walking tours, tours by coach, attraction tickets, and other services.
Offers are uploaded through the Platform by local suppliers from around the world ("suppliers"), with whom the respective contracts for the services are concluded ("service contracts"). Consumers can research information regarding suppliers’ products and services and commence orders on TICKITBOOKIT.
TICKITBOOKIT is directed towards both consumers and business owners("suppliers"). For the purposes of these Terms of Service, the following shall apply:
(a) A "consumer" is any natural person using the Platform, commencing and concluding the contract for purposes that cannot be primarily attributed to any commercial or independent professional activity.
(b) A "supplier" is a natural or legal entity or a legal partnership, which, in concluding the contract acts in its commercial or independent professional capacity.
Registration
There are some occasions, such as the initiation of bookings, which will require registration. During registration, the consumer submits their information and agrees to the Terms of Service. Subsequently, the registration is confirmed by TICKITBOOKIT. Natural persons must be at least 18 years of age.
TICKITBOOKIT Services and Conclusion of Contract
After the consumer has initiated a request for service (for example, requested information on a tour, dates and price options) on the TICKITBOOKIT Platform. TICKITBOOKIT will show the consumer information on the supplier’s services ("service information"). Based on information received by the Platform and after checking availability, the consumer can then submit a contractual offer to be forwarded to the supplier by submitting an order. This is done by clicking the "book" button.
TICKITBOOKIT shall provide the consumer with the supplier’s conditions of carriage and general terms and conditions for its relationship to the consumer and for its products and/or services, insofar as these are available to TICKITBOOKIT.
TICKITBOOKIT shall provide a booking confirmation voucher and a payment confirmation to the user. The use of TICKITBOOKIT itself is, in principle, free of charge to the user.
TICKITBOOKIT shall forward any data for the use of suppliers’ services in accordance with the currently valid conditions and cancellation clauses/penalties after these have been received from the supplier.
TICKITBOOKIT does not provide any warranties or guarantees for the accuracy of data forwarded or guarantee the performance or quality of the experience of products or services by the supplier, because all information displayed and forwarded to the consumer is based on data provided by third parties or suppliers, which TICKITBOOKIT cannot verify in detail.
Products and Booking Reservations
By booking a reservation for a Product through the Platform, you thoroughly acknowledge that you accept the practices described in our Privacy Policy and this Agreement, in whole.
In addition, you warrant that you are 18 years of age or older, and that you possess the legal authority to enter into this Agreement, use this Platform, book the product and/or service, and that all of the requested information that you supply is true and accurate.
Furthermore, you agree that you will use the booking functionality of this Platform to make only legitimate reservations for you and/or others for whom you are legally authorized to act.
Any false or fraudulent reservation is prohibited, and any consumer who attempts such a reservation will have his or her TICKITBOOKIT account terminated.
Although TICKITBOOKIT displays information about travel experiences offered by third-party suppliers and facilitates reservations to those suppliers, these actions do not in any way imply, suggest, or constitute TICKITBOOKIT's approval of third-party suppliers, or any affiliation between TICKITBOOKIT and third-party suppliers.
Although TICKITBOOKIT users may rate and review travel experiences based on their own experiences, TICKITBOOKIT does not endorse or recommend the products or services of any third-party suppliers.
You agree that TICKITBOOKIT is not responsible for the accuracy or completeness of information it obtains and displays from third-party suppliers on its Platform.
If you book a reservation for a travel experience through the Platform, you agree to accept and be bound by the supplier's terms and conditions, and any other rules or policies related to the supplier's products and services.
TICKITBOOKIT will have no liability with respect to warranties, guarantees, acts, omissions, errors, representations, breaches or negligence of any third-party suppliers or for any personal injuries, death, property damage, or other damages or expenses resulting from your booking or interactions with third-party suppliers. Your interactions with third-party suppliers are at your own risk.
This Platform may link you to supplier sites or other Platforms that TICKITBOOKIT does not operate or control (please refer to the section below titled “Links to Third-Party Sites”).
Links to Third Party Websites
This Platform may contain links to websites operated by parties other than TICKITBOOKIT. These links are provided for your reference only.
We do not control third-party websites and are not responsible for their content or the security of their data. Furthermore, it is up to you to take precautions to ensure that the links you select are free of bugsor other programs of a damaging nature such as viruses, worms, defects and other programs. The inclusion of links to third party websites does not imply the endorsement of the materials and contents or any association with their operators or brands.
Payments to TICKITBOOKIT
The service contract concluded with the supplier shall regulate the compensation the consumer must pay for the supplier’s services. TICKITBOOKIT shall be entitled to prepare invoices for compensation on the supplier’s behalf and to forward these to the consumer.Suppliers will be transferred compensation entitlements fromTICKITBOOKIT.
Foreign Currency Requirement
If the consumer is required to pay in a currency different from his country’s currency, (foreign currency requirement), TICKITBOOKIT may request payment in the consumer’s local currency and convert at the prevailing foreign-exchange rate as determined by TICKITBOOKIT.
Your bank or credit or debit card company may convert the payment into the local currency and charge fees, resulting in differences between the amount displayed on TICKITBOOKIT.com and TICKITBOOKIT-affiliated Platforms, and the final amount charged to your bank account or credit or debit card statement.
Please contact your bank or card company if you have any questions concerning any applicable conversion or fees. Please note for bookings made in Brazil, the tax IOF (Tax Upon Financial Operations, 6.38%) is not included in the final booking value and will be charged to the credit or debit card used to make the purchase.
Registration and Payment
The consumer must register in order to use the TICKITBOOKIT payment function. The consumer must provide truthful billing information and update this information promptly in case of changes or the payment method may be rejected. The approved payment methods are displayed to the consumer during the booking process.
By authorizing payment, the consumer agrees that his payment information may be used by TICKITBOOKIT to collect compensation.
There is no booking fee for processing credit or debit card payments.
Full payment by credit or debit card is required to complete a reservation. Payment will be listed as TICKITBOOKIT on the credit or debit card statement.
No refunds are available once a booked product or service has commenced.
Canceling a booking with TICKITBOOKIT can result in cancellation fees being applied by TICKITBOOKIT, as indicated in the listing and on the booking confirmation voucher. When canceling any booking you will be notified via email of the total cancellation fees, which varies based on the product, service, experience, tour or event.
TICKITBOOKIT Pricing
All prices on TICKITBOOKIT are displayed per person,and are inclusive of all taxes and fees.Prices are based on the local tariff at the time of quoting. Prices are established by suppliers and may be subject to specific conditions, including, but not limited to, cancellations and refunds. Please check carefully before booking if the respective service contract is subject to special conditions. Special offers and promotions are identified as such.
Price quotations are subject to change without notice, until a booking has been confirmed.
Prices do not include tips and/or gratuities; insurance; passport and visa fees; baggage fees; taxes or duties; and any personal items, beverages or food not specifically listed under “Inclusions” on the product pages of the Platform.
Payment Processing
Under this agreement, the payment processing services for services purchased on this Platform are provided by EasyPay Limited on behalf of TICKITBOOKIT.
These terms are an Agreement between you and TICKITBOOKIT and services will be delivered by TICKITBOOKIT directly.
Registration Obligations of the Consumer
You need to create an account and provide information about yourself in order to use some of the features on the Platform. Consumers shall treat registration data (user name and password) as confidential and shall not allow third parties access to TICKITBOOKIT with their registration data.
By holding a TICKITBOOKIT account, you will safeguard your account information and will supervise and be completely responsible for any use of your account by anyone other than you
Use of TICKITBOOKIT under the registration of the consumer shall be attributed to the consumer.Unauthorized use of your password or account could cause you to incur liability to both TICKITBOOKIT and other suppliers and/or consumers.
You are responsible for maintaining the confidentiality of your account password and login credentials.
You are responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account.
Your TICKITBOOKIT account is for your personal, non-commercial use only. You may not impersonate someone else, create an account for anyone other than yourself, provide an email address other than your own, or create multiple accounts.
The consumer shall indemnify TICKITBOOKIT from claims by third parties resulting from his use of TICKITBOOKIT.
TICKITBOOKIT reserve the right to close or suspend your account/registration at any time for any or no reason.
You may terminate your account at any time by closing your account and discontinuing your use of any and all parts of the Platform. If you close your account, we may continue to display your previously published Content and are under no obligation to remove any of your Content.
You must be 18 years of age or older to register. TICKITBOOKIT does not knowingly collect the information of anyone under the age of 18.
Furthermore, as a condition of your use of this Platform, you warrant that all information supplied by you on this Platform is true, accurate, current and complete.
Your use of this Platform is intended for personal, noncommercial use and/or to make legitimate requests to book the Products offered. TICKITBOOKIT retains the right at our sole discretion to deny access to anyone to this Platform and the services we offer, at any time and for any reason, including, but not limited to, for violation of this Agreement.
In accessing or using the Platform, you may be exposed to content that is inaccurate, objectionable, or otherwise inappropriate. TICKITBOOKIT does not endorse such content, and therefore, you access and use the Platform at your own risk.
Availability and Warranty
TICKITBOOKIT can alter, restrict, or discontinue its PlatformTICKITBOOKIT at any time and at its own discretion. Existing agreements between a consumer and a supplier, as well as their processing, shall not be affected by such changes.
TICKITBOOKIT shall assume no warranty for the accuracy or completeness of the data provided by third parties, such as other suppliers.
TICKITBOOKIT shall assume no liability for the products or services offered by suppliers, unless it is itself the supplier of the respective service. The consumer’s contact point for questions and claims in connection with a service contract and its implementation shall be TICKITBOOKIT.
Justas TICKITBOOKIT bears no obligation toward the user, TICKITBOOKIT also offers no guarantee.
TICKITBOOKIT's Reviews and Ratings Function
Consumers have the opportunity to personally influence TICKITBOOKIT's content by writing travel reports in the form of reviews, ratings or by posting videos, images, or sound bites ("user generated content" or “UGC”).
Consumers are fully responsible for the content posted by them and shall assume responsibility for it.
They shall ensure the correctness of the content and guarantee that it does not contain misleading or improper statements or information. In addition, users shall guarantee that no third party rights are infringed upon by their content. TICKITBOOKIT merely provides the platform and shall in no way assume responsibility for user content.
TICKITBOOKIT can use UGC in various ways. These include, but are not limited to, display on the Platform, reformatting, processing for more clarity or better grammar, and the inclusion in advertisements or other work.
TICKITBOOKIT may remove or re-insert UGC as necessary and at its sole discretion. TICKITBOOKIT can, for example, remove UGC if it is the opinion of TICKITBOOKIT that it violates TICKITBOOKIT's principles on content. TICKITBOOKIT shall not be obligated to retain copies of UGC or provide such copies. TICKITBOOKIT does not guarantee the confidentiality of UGC.
TICKITBOOKIT may display advertisements and other information adjacent to or along with user content on the Platform and in other media. Consumersor suppliers shall not be entitled to compensation for such advertisements. Rights to make changes with respect to the nature and extent of such advertisements shall be reserved, and consumers have no right to be specially notified of these.
Data Protection
TICKITBOOKIT shall collect and use consumer’s personal information to the extent necessary for establishing, creating, arranging, or changing the status of the contractual agreement for TICKITBOOKIT between the consumer and TICKITBOOKIT.
Insofar as TICKITBOOKIT becomes included in the communication regarding a service contract between the consumer and the respective supplier, it submits the required data necessary for the conclusion of said contract to the supplier.
The supplier then processes and uses the data for the purposes of contract initiation, conclusion, and execution of the contract, based on its own responsibility. The identity of the respective supplier results from the booking dialogue.
In certain circumstances we may disclose information about you to third parties if we determine, in our sole discretion, such disclosure is necessary, such as a subpoena.
Amendments to these Terms of Business
TICKITBOOKIT reserves the right to modify these Terms of Service at any time without notice and without stating reasons for doing so.
The amended Terms of Servicewill be posted on the Platform at least two weeks before they take effect.
Other Provisions
The law of India shall apply. The exclusive place of jurisdiction shall be Gujarat, India.
II. Terms of ServiceforConsumers purchasing from TICKITBOOKIT Suppliers of Tourism Services
These Terms of Service apply to the contracts between the consumers of TICKITBOOKIT and the suppliers of tourism services, etc.
Acceptance of Bookings
The supplier only accepts bookings by persons fully capable of acting and with full legal competence, and 18 years of age or older.
Truthful Information
The information provided on the TICKITBOOKIT Platform must be truthful. The supplier reserves the right to cancel bookings when incorrect information has been provided. In this case, the price paid cannot and will not be refunded.
Arrival at venue, and compliance with rules
You are responsible for timely arrival at the meeting point. If you are arriving to the booked activity from abroad, you are personally responsible for the necessary transportation, travel documents (passport, etc.), compliance with health regulations, etc.
Conditions of Participation
You are personally responsible for compliance with any and/or all conditions of participation. The supplier reserves the right to exclude participants, who do not meet these conditions, from the activity or experience. In this case, the price paid cannot be refunded.
Binding Nature of Offer/Booking
The contract between you and the supplier is concluded when the supplier accepts your booking request. By booking a tour or other activity, you are submitting a binding offer to the supplier, to which you are bound, unless the supplier does not accept your offer. Once the supplier has accepted your offer/booking, the contract is definitely concluded, of which you will be notified via e-mail.
Payment
Your credit card will be charged upon booking. If the supplier does not accept your booking, the charged amount will be credited back.
Disclaimer on Right of Withdrawal
In case that the applicable law for the contract between you and the supplier grants a right of cancellation in favor of you, you waive that right, to the extent permitted by law.
Personal Responsibility for Insurance
Insurance is not included in the price. You are personally responsible for procuring sufficient insurance coverage.
Unpaid Services
If you do not pay for the booked service or revoke the payment, your claim to the service benefits will be omitted. This will be regarded as a cancellation and cancellation charges will apply.
Exchange of Messages
All communication between you and the supplier must be made through the TICKITBOOKIT booking platform. For this purpose, solely the forms provided by TICKITBOOKIT Platform are to be used.
Messages, which are not handled through the TICKITBOOKIT booking platform or via the forms provided for that purpose, cannot be accepted by the supplier and they carry no legal effect.
Electronic Communications
When you use the TICKITBOOKIT Platform, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically and agree that we may mutually communicate with you in a variety of ways, including e-mail, in-app push notices, or by posting notices and messages on the Platform. You may unsubscribe from e-mail communications anytime by emailing unsubscribe@TICKITBOOKIT.com
Cancellation Policy
If you cancel the activity, the cancellation policy on the TICKITBOOKIT booking confirmation voucher is authoritative. We advise the customer to carefully read the information on the listing and on the TICKITBOOKIT booking confirmation voucher.
If there is no cancellation policy stated on the listing or the TICKITBOOKIT booking confirmation voucher, the following cancellation charges will be levied by TICKITBOOKIT:
These are non-refundable in all circumstances; Event, Attraction, Theater, Show or Coupon Tickets.
Gift Certificates; These are non-refundable in all circumstances.
Other Products and Services:
If you cancel at least 7 day(s) in advance of the scheduled experience, there is no cancellation fee.
If you cancel between 3 and 6 day(s) in advance of the scheduled experience, there is a 50 percent cancellation fee.
If you cancel within 2 day(s) of the scheduled experience, there is a 100 percent cancellation fee.
Refunds will be made within 30 working days by crediting the credit card used.
If the credit card payment before the use of the booked service is not honored or revoked, this will be considered as a booking cancellation and cancellation fees will apply. Further claims for damages are reserved.
Extraordinary Cancellation Undertaken by the Supplier
The supplier can cancel the activity without adherence to the cancellation period if acts of God, weather conditions, governmental actions, unforeseeable or unavoidable external circumstances which endanger or make carrying out the activity impossible or substantially more difficult.
This is done under exclusion of any compensation for damages or other claims under what legal basis whatsoever.
Exclusion from Participation
The supplier has the right to refuse admittance or exclude you from an activity if you do not meet the eligibility requirements, or if your participation puts you or others at risk, or otherwise interferes with the proper conduct of the activity. In these cases, a refund is at the discretion of the supplier.
Program Changes
The supplier further reserves the right to make minor program changes, if deemed necessary due to unforeseeable or unpreventable circumstances.
Time Zone
The time zone of the supplier shall apply.
Liability of the supplier of the service
The supplier of the service is liable according to applicable law. The liability is excluded to the extent permitted by applicable law.
Changes of these Terms of Service
TICKITBOOKIT reserves the right to modify these Terms of Service at any time without notice and without stating reasons for doing so. The terms that are valid at the time of each booking shall apply. The user has no claim that future bookings be completed under existing conditions.
The amended Terms of Servicewill be posted on the Platform at least two weeks before they take effect. Be sure to return to this page periodically to review the most current version.
Alteration of Listings
TICKITBOOKIT reserves the right to delete any event from the TICKITBOOKIT Platform at any time, under any circumstances, and for any reason.
Applicable Law
The legal relationship between users and suppliers of services shall be in each case governed by the applicable law.
Modifying or Amending Your Booking
All requests for modifications and amendments to your booking must be directed to the TICKITBOOKIT Customer CareTeam (click here to submit an“Amendment" request on an existing booking) who will process the request. See the section “Payment & Cancellations” below for additional information with respect to cancelling a booking.
TICKITBOOKIT does not charge a fee to amend or change the dates of an existing booking, as long as the request is received by our Customer Care Team more than three (3) days ahead of your confirmed experience/ticketing date.
It is not possible to change or modify a special event, theater or show ticket. Sales of these tickets are final and cannot be amended once your original purchase is confirmed. These conditions are noted on the relevant listings and within the cancellation policy on your booking confirmation voucher.
All other date-change requests and amendments are subject to availability by our suppliers; TICKITBOOKIT cannot guarantee the success of any date-change request, but we will do our best to accommodate you.
If you request a date change within three (3) days or less of your confirmed travel date, TICKITBOOKIT will attempt to honor your request; however changes made three days or less from your original travel date may be subject to an additional fee.
For multi-day and overnight tours, date changes made within seven (7) days of your confirmed travel date may also be subject to additional fees.
If you make a purchase using a TICKITBOOKIT promotion code, or if you accept a discount or special-offer price during the TICKITBOOKIT checkout process, you may invalidate your discount or special-offer price by making any changes or amendments to your itinerary once your purchase is complete.
TICKITBOOKIT may decide, at its sole discretion, to honor your discount or special-offer pricing if you make a post-purchase change or amendment to your itinerary. However TICKITBOOKIT reserves the right to invalidate your discount or special-offer pricing if you make any changes to your confirmed itinerary.
Occasionally our suppliers and/or service suppliers make changes to tour dates, prices, inclusions, coverage, age requirements, and other product features and/or requirements. As a result, TICKITBOOKIT reserves the right to cancel, change or substitute any product or service, or ticket that you have booked on this Platform, at any time, for any reason. In such cases, if you are dissatisfied with the alternatives offered, you are entitled to a full refund of the original purchase price.
Notwithstanding the above, when we are informed in advance by our suppliers of a significant change to a booking and/or to an experience, service, product or event, we make every reasonable effort to notify the consumer in order to amend or re-issue the booking where feasible.
TICKITBOOKITXXXXX Deals
TICKITBOOKIT offers discounts and time-limited promotions, known as “XXXXXXX Deals”, to registered TICKITBOOKIT users. You must have a TICKITBOOKIT account in order to browse or book a Member Only Deal.
Member Only Deals are confirmed instantly upon booking and all sales are final.
If you cancel or amend a Member Only Deal, you will be charged a 100% cancellation fee.
TICKITBOOKIT Booking Confirmations
You will receive a personalized TICKITBOOKIT Booking confirmation voucher and QR codefor each tour, event or service booked.
You must provide the original, authentic TICKITBOOKIT booking confirmation voucher with QR code from your device, or printed out, to the appropriate service supplier in order to redeem your ticket, tour or package. Your reservation cannot be honored or redeemed without presenting a valid TICKITBOOKIT booking confirmation voucher with QR code.
For security purposes, when redeeming your TICKITBOOKIT booking confirmation voucher you may be requested by the supplier to present a valid Photo ID and sign the TICKITBOOKIT Voucher. This is for identification purposes and helps prevent fraud.
If you make a purchase using a TICKITBOOKIT gift voucher (“Gift Certificate”), TICKITBOOKIT requires that you enter the code of the Gift Certificate to purchase your tour, ticket or package at the time of booking. TICKITBOOKIT cannot retroactively refund the amount of the gift voucher once the booking has been completed. Gift certificates cannot be resold or redeemed for cash or cash equivalents.
In some cases, and within the discretion of the supplier, TICKITBOOKIT also requires that you present the credit or debit card used to purchase your ticket or experience at the time of redemption. You will be advised at checkout and on the booking confirmation voucher whether or not you must present the credit or debit card used for booking.
Passports, Visas & Insurance
When you book international reservations with third-party suppliers using this Platform, you are responsible for ensuring that you meet all foreign entry requirements and that your transportation, travel documents, passports and visas, and health requirements are in order.
Our Liability
This section limits TICKITBOOKIT'S liability for issues that may arise in connection with your use of this Platform.

You agree that all claims you may have against TICKITBOOKIT, Inc. arising from or relating to this Platform must be heard and resolved in a court of competent subject matter jurisdiction located in India.
